By accessing or using VidBid ("the Service"), operated by Visivo, LLC, you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use the Service. These terms apply to all users, including contractors, their employees, and end customers who view estimates.
VidBid is a mobile application and web platform that enables home service contractors to create video-based estimates, manage pricing through digital price books, and deliver branded proposals to customers via SMS and email. The Service includes:
To use the Service, you must create an account and provide accurate, complete information. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use of your account.
The Service is offered through the following subscription tiers:
Subscriptions are billed monthly through Stripe. You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. No refunds are provided for partial months.

You retain ownership of all content you create through the Service, including videos, estimates, price book items, and customer data. By using the Service, you grant us a limited license to store, process, and deliver your content as necessary to provide the Service.
We do not claim ownership of your content and will not use it for any purpose other than providing the Service to you.
As a contractor using the Service, you are responsible for obtaining appropriate consent from your customers before collecting their personal information (name, phone, email, address) and sending them communications via the Service. You must comply with all applicable privacy and marketing laws in your jurisdiction.
The Service sends SMS messages to customers on behalf of home service contractors who use VidBid. By providing your phone number and accepting an estimate or scheduling an appointment through VidBid, you expressly consent to receive SMS text messages from the contractor's business via the VidBid platform. You are opting in to receive the following types of messages:
Consent is collected at the point of interaction on the VidBid platform. When you accept an estimate or request an appointment through VidBid, you will see a disclosure stating: "By accepting, you agree to receive SMS messages from [Business Name] via VidBid, including estimate links, appointment confirmations, and reminders. Msg&Data rates may apply. Reply STOP to opt out." By proceeding, you provide your express written consent to receive these messages. Consent is not a condition of purchasing any goods or services.
Message frequency varies based on service activity, typically 1-5 messages per transaction. Message and data rates may apply depending on your mobile carrier and plan.
You can opt out of SMS messages at any time by replying STOP to any message you receive. After opting out, you will receive a one-time confirmation message and no further messages will be sent. You can opt back in by replying START or by accepting a new estimate through VidBid.

Phone numbers and messaging data are not shared with third parties for marketing or promotional purposes. Your information is only used to deliver the transactional messages described above. See our Privacy Policy for full details on how we handle your data.
Contractors using VidBid are responsible for ensuring their customers have provided consent before sending messages through the platform. Contractors must not use VidBid to send unsolicited messages or marketing content.
Videos recorded through the Service must be related to legitimate home service estimates. Videos must not contain:
We reserve the right to remove content that violates these guidelines and to terminate accounts that repeatedly violate them.
We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to notify users of planned downtime.
To the maximum extent permitted by law, Visivo, LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of the Service.
Our total liability for any claim arising from the Service shall not exceed the amount you paid us in the 12 months preceding the claim.
You agree to indemnify and hold harmless Visivo, LLC and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from your use of the Service, your content, or your violation of these Terms.
We may suspend or terminate your account if you violate these Terms, fail to pay subscription fees, or engage in activity that harms the Service or other users. Upon termination, your right to use the Service ceases immediately. You may request export of your data within 30 days of termination.
We may update these Terms from time to time. We will notify you of material changes via email or through the Service. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you disagree with any changes, you may cancel your subscription and stop using the Service.
These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts located in Texas.
