1. Acceptance of Terms

By accessing or using VidBid ("the Service"), operated by Visivo, LLC, you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use the Service. These terms apply to all users, including contractors, their employees, and end customers who view estimates.

2. Description of Service

VidBid is a mobile application and web platform that enables home service contractors to create video-based estimates, manage pricing through digital price books, and deliver branded proposals to customers via SMS and email. The Service includes:

  • Mobile application for video recording and estimate creation
  • Cloud-based video hosting and delivery
  • Customer-facing web pages for estimate viewing and acceptance
  • Appointment scheduling and management
  • SMS and email notifications
  • Analytics and reporting

3. Account Registration

To use the Service, you must create an account and provide accurate, complete information. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use of your account.

4. Subscription Plans and Payment

The Service is offered through the following subscription tiers:

  • Starter ($99/month): 20 video estimates per month, 1 user, basic branding
  • Pro ($149/month): Unlimited estimates, scheduling, deposits, analytics
  • Team ($249/month): Multiple users, team analytics, CRM integrations

Subscriptions are billed monthly through Stripe. You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. No refunds are provided for partial months.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Upload content that is offensive, defamatory, or infringes on third-party rights
  • Attempt to gain unauthorized access to the Service or other users' accounts
  • Interfere with or disrupt the Service or servers
  • Use automated tools to scrape or access the Service without permission
  • Resell or redistribute the Service without authorization
  • Transmit malware, viruses, or other harmful code

6. Content Ownership

You retain ownership of all content you create through the Service, including videos, estimates, price book items, and customer data. By using the Service, you grant us a limited license to store, process, and deliver your content as necessary to provide the Service.

We do not claim ownership of your content and will not use it for any purpose other than providing the Service to you.

7. Customer Data Responsibility

As a contractor using the Service, you are responsible for obtaining appropriate consent from your customers before collecting their personal information (name, phone, email, address) and sending them communications via the Service. You must comply with all applicable privacy and marketing laws in your jurisdiction.

8. SMS Messaging Terms

The Service sends SMS messages to customers on behalf of contractors. By providing a phone number, customers consent to receive the following types of messages:

  • Video estimate links when an estimate is created for them
  • Appointment confirmation messages when they accept an estimate
  • Appointment reminder messages before scheduled service visits

Message frequency varies based on service requests, typically 1-5 messages per transaction. Message and data rates may apply. Customers can opt out at any time by replying STOP to any message. For help, reply HELP. For support, contact info@visivoagency.com.

Contractors are responsible for obtaining proper consent from their customers before sending messages through the Service. Phone numbers and messaging data are not shared with third parties for marketing purposes.

9. Video Content Guidelines

Videos recorded through the Service must be related to legitimate home service estimates. Videos must not contain:

  • Content unrelated to home service estimates
  • Personally identifiable information of minors
  • Discriminatory or harassing content
  • Content that violates any applicable law

We reserve the right to remove content that violates these guidelines and to terminate accounts that repeatedly violate them.

10. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to notify users of planned downtime.

11. Limitation of Liability

To the maximum extent permitted by law, Visivo, LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of the Service.

Our total liability for any claim arising from the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless Visivo, LLC and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from your use of the Service, your content, or your violation of these Terms.

13. Termination

We may suspend or terminate your account if you violate these Terms, fail to pay subscription fees, or engage in activity that harms the Service or other users. Upon termination, your right to use the Service ceases immediately. You may request export of your data within 30 days of termination.

14. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or through the Service. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you disagree with any changes, you may cancel your subscription and stop using the Service.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts located in Texas.
